Clear terms for a transparent service

These terms govern your use of Limitguard, the lead validation service for businesses. Plain language, no surprises.

1. Acceptance and business use

By creating an account or workspace, creating an API key, paying for credit or a plan, or sending requests to the Limitguard API, you ("Customer") agree to these Terms of Service ("Terms"). Limitguard is sold to businesses only. By signing up you confirm that you act for a business or other organisation in the course of its trade, business or profession, and not as a consumer, and that you have authority to bind that organisation to these Terms. If you send a request or make an x402 payment without an account, you give the same confirmation by doing so.

2. Service description

Limitguard is a lead validation service. It checks the company behind a lead or counterparty against official business registers (full coverage in the Netherlands and Belgium), EU VAT and sanctions lists, and returns a verdict (proceed, review or block), scores and risk signals, with the source on every line. The service consists of the API at api.limitguard.ai, the dashboard at dashboard.limitguard.ai (company checks, lead-list checks and reports), the MCP server and the A2A service. Prepaid credit and monthly plans are described in section 4.

3. Accounts, API keys and access

  • Dashboard accounts belong to a workspace. The workspace owner is responsible for who is invited and for all activity in the workspace.
  • API access requires a valid API key passed via the X-API-Key header, or a valid x402 payment.
  • API keys are confidential. You are responsible for all activity under your key.
  • Do not share, publish, or embed API keys in client-side code.
  • We may revoke keys that are compromised, abused, or violate these Terms.
  • Sandbox mode is available for testing without incurring charges.

3.1 Company details

When you set up a workspace we ask for your country, your company registration number and some information about how you plan to use Limitguard. For Dutch and Belgian companies we take the company name and address from the official register (KVK or KBO). You promise that what you give us is accurate and that you may act for the company. We may check it against registers.

3.2 Free lead checks

After a successful signup, your business receives 5 free lead checks. Each business, identified by its company registration number, can receive them once. They have no cash value and cannot be transferred or refunded. Unused free checks expire 30 days after they are granted, unless by then you have paid for a top-up or a plan (net of refunds).

Before we grant free checks we look your company up in the register (or in VIES for a VAT-only number) and screen its name against sanctions lists. We may refuse, withhold or take back free checks if your email address is not confirmed or is on a disposable domain, if the register does not know your company, if the company number has already been used, if a sanctions check does not clear, or if we suspect abuse. We do not have to give the reason where the law or the risk of abuse makes that unwise. If you or your company appear on a sanctions list, we may refuse or end the service as the law requires.

4. Prices, payment and credit

4.1 Prices

Prices are shown on limitguard.ai/pricing and in the dashboard. All prices exclude VAT. Dashboard prices are in euro. API and x402 per-request prices are in US dollars, paid in USDC on the networks listed in the API documentation (currently Base and Solana).

4.2 Ways to pay

In the dashboard you can top up credit by card, Bancontact or iDEAL | Wero (minimum EUR 15 per top-up), or by SEPA Direct Debit (minimum EUR 20 per top-up). Monthly plans can be paid by card or SEPA Direct Debit. Payments are processed by Stripe under Stripe's own terms. API agents can also pay per request in USDC with the x402 payment protocol. For a new workspace we may cap SEPA Direct Debit top-ups until its first SEPA payment has settled, and we may stop further SEPA top-ups after repeated failed debits.

4.3 No payment fee

We do not charge a fee or surcharge for any payment method. What you pay is what is credited.

4.4 VAT

We are a Dutch company (VAT NL860955357B01).

  • Customers in the Netherlands: we add 21% Dutch VAT.
  • Business customers in another EU country: if you give us a valid VAT number (we check it in VIES), we do not charge VAT and the invoice states that VAT is reverse-charged. You account for the VAT in your own country. Without a valid VAT number we charge 21% Dutch VAT.
  • Customers outside the EU: we do not charge Dutch VAT. Any local tax on imported services is yours to account for.

You must keep your company name, address and VAT number in your workspace up to date.

4.5 Prepaid credit

You can top up a credit balance in euro. Credit is used for checks at the price shown when the check runs. Credit you buy by top-up does not expire. Credit is not money or a bank balance, earns no interest, cannot be transferred, and cannot be paid out except as set out in sections 4.6 and 11.

You can switch on auto-reload. With your consent we save a card and top it up automatically when your balance falls below the threshold you set, by the amount you set. You can change or switch off auto-reload in the dashboard settings at any time.

4.6 Refunds of credit

A check that fails is not charged. Checks you have already run are delivered immediately and are not refunded. You can ask for a refund of a top-up within 14 days of the payment, if the credit from that payment is unused, by emailing support@limitguard.ai. After 14 days there is no cash refund of credit; the credit stays on your balance and does not expire. A refund goes back to the original payment method, and we take the same credit back from your balance, euro for euro. If you were charged twice or by mistake, we correct it.

4.7 Monthly and yearly plans

We offer monthly and yearly plans (Starter, Growth and Pro) with the price and the credit included shown on the pricing page. A plan starts when your first payment succeeds and renews automatically at the same price every month, or every year on a yearly plan, until you cancel. The credit of each period is added to your balance after the payment. Monthly plan credit that you do not use in the period it is added carries over to the next period; what is still unused at the end of that next period expires. Yearly plan credit is added at once for the whole year; what is still unused one month after that year ends expires. When a check is charged, plan credit is used before credit you bought by top-up, the oldest plan credit first.

4.8 Cancelling a plan

You can cancel at any time in the customer portal. Cancellation takes effect at the end of the period you have already paid, and you keep the plan until then. We do not refund part of a paid period.

4.9 Refund of a plan payment

If a plan payment is refunded, we take back the refunded share of the credit that came with that period.

4.10 Failed renewals

If a renewal payment fails, Stripe retries the payment for about a week. If it is still unpaid after 7 days, the extras of the plan stop. An unpaid invoice does not give you any credit. Credit you already hold, including credit from top-ups, stays on your balance.

4.11 Disputes and reversals

If a payment is disputed, charged back or returned (including a SEPA Direct Debit that your bank returns), we take back the credit that payment bought. While a dispute is open, and after a lost dispute until the shortfall is paid, we may suspend the workspace. If the credit was already used, the amount is owed by you and your next top-up pays it first. For SEPA Direct Debit you authorise us, through Stripe, to collect each plan renewal and each top-up you request. Your bank may allow you to reverse a SEPA debit for up to 8 weeks.

4.12 Invoices

Invoices and receipts are issued through Stripe for payments made in the dashboard and show the company name, address and VAT number saved in your workspace. If you need a copy or a correction, email support@limitguard.ai.

4.13 Price changes

We give at least 30 days' notice of a change to a plan price, by email to the workspace owner and in the dashboard. It applies from the first renewal after the notice period. If you do not accept it, cancel before it applies. Other prices may change when we publish a new price on the pricing page; a new price applies only to checks you run after it takes effect. A price change never changes the euro value of credit you already hold.

4.14 x402 requests

A payment made by x402 is final once the request is served. For a payer without an account the price shown is the full price: we do not add VAT and we do not issue a VAT invoice. If you need a VAT invoice or reverse-charge treatment, create an account and pay from the dashboard.

5. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or in violation of applicable regulations.
  • Attempt to circumvent rate limits, authentication, or payment requirements.
  • Reverse-engineer, decompile, or extract the underlying scoring algorithms.
  • Resell API responses as a competing validation or trust intelligence service without prior written agreement.
  • Submit requests designed to overload, disrupt, or probe the security of the service.
  • Create several accounts, use several company numbers, or use any other means to get more free checks than allowed.
  • Upload personal data that you have no right to process, or that is not business contact data needed for the checks.
  • Use check results for direct marketing or any other purpose in breach of the law (including the GDPR and the ePrivacy rules). You are responsible for how you use the results.
  • Use trust scores as the sole basis for denying individuals access to essential services without human review.

6. Data and privacy

  • Data you submit through the API, the dashboard or lead lists is processed to return the results you ask for, and for the limited other purposes described in the DPA and the Privacy Policy (security, billing and preventing abuse).
  • We do not use your data to train models, sell it to third parties, or for our own marketing.
  • For the personal data in your lead lists and check requests, you are the controller and we are your processor under the Data Processing Agreement. For your account, billing, signup, security and abuse-prevention data, we are the controller; see the Privacy Policy.
  • Application data is hosted in the EU: servers in the European Union (API at a Contabo data centre, dashboard at Hetzner) and a database in Ireland. Some providers, such as Stripe, Cloudflare and Resend, process limited data under the safeguards described in the Privacy Policy and the DPA sub-processor list.

7. Service level

Uptime commitments and credit terms are defined in the Service Level Agreement. The SLA applies to the plans and customers named in it. Free checks, pay-as-you-go use without a plan and the Starter plan are best effort.

8. Intellectual property

  • The Limitguard API, dashboard, scoring methodology, documentation, and branding remain the property of Ambulatio Consulting BV.
  • You retain ownership of data you submit. We claim no rights over your input data or the decisions you make based on results.
  • Results (verdicts, scores, risk signals) are licensed for your internal business use. You may display them to your own customers in the context of your service.

9. Disclaimer of warranties

The service is provided "as is" and "as available". To the maximum extent permitted by Dutch law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and accuracy of results.

Verdicts and scores are informational. They show what our checks returned on the date shown and do not constitute legal, financial, or compliance advice. You are responsible for your own compliance decisions.

10. Limitation of liability

To the maximum extent permitted by applicable law:

  • Our total aggregate liability for any claims arising from these Terms shall not exceed the greater of the fees paid by you in the 12 months preceding the event giving rise to the claim and EUR 100.
  • We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, or for decisions you make based on a result.
  • This limitation does not apply to liability arising from gross negligence or wilful misconduct, or to liability that cannot be excluded under Dutch law (including intent or deliberate recklessness of our management).

11. Termination

  • You may stop using Limitguard at any time. To stop a plan, follow section 4.8.
  • We may suspend or terminate access for violation of these Terms, with notice where practicable. We may suspend a workspace as set out in section 4.11.
  • If we end your account without a breach on your side, we refund the unused part of your top-up credit. If we end it for breach or fraud, we may withhold credit to the extent the law allows. Free checks end with the account.
  • Upon termination, your API keys are revoked. Data retention and deletion follow the DPA.

12. Changes to these terms

We may update these Terms. For customers who already have an account, we give at least 30 days' notice of a material change, by email to the owner of each workspace and to registered API key holders, and by a notice in the dashboard and on this page. A new version applies immediately to anyone who signs up after it is published. If a change is to your disadvantage and you do not accept it, you can stop using Limitguard and cancel your plan (section 4.8) before the change takes effect, and we refund your unused top-up credit on request. Continued use after the notice period means you accept the updated Terms. Earlier versions stay available in the archive of previous versions.

13. Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of the Netherlands. The Dutch courts have exclusive jurisdiction. The court of first instance is the Rechtbank Zeeland-West-Brabant, location Breda.

Change history
